Separate the company’s application from the owner’s stay
A foreign business owner preparing to establish an overseas company’s branch in Somalia should organise two files: the company’s registration evidence and the individual’s immigration documents. The Immigration and Citizenship Agency lists residence-permit services for foreigners who intend to live, work or invest in the country. Its published residence requirements include a valid passport and entry visa, an employer or sponsor letter where applicable, and a completed application. Corporate registration does not supply those personal documents.
This guide concerns preparation for a branch of a company already registered abroad and the foreign investor’s stay, rather than a new local sole trader. It describes federal government resources; it does not establish procedures for every regional authority. The Agency’s visa section quotes a six-month passport minimum, while the government’s investor stay checklist requires a year. Meeting the shorter entry-document description should therefore not be treated as meeting the longer stay-file requirement.
Prepare the foreign company’s certified evidence
HALMEEL’s government service page publishes a specific foreign-company checklist. It calls for a power of attorney, articles and memorandum of association, the home-country registration certificate and the shareholders’ decision authorising the Somali branch. Those documents are to be notarised and certified by the Somali embassy in the country where the foreign company is registered. Plan that documentary chain before assuming ordinary scanned corporate records will suffice.
The same checklist asks for passport copies of shareholders or board members, the names and passports of directors based in Somalia, and the name of the locally based legal representative. It states that foreign-company registration does not displace Foreign Investment Law requirements. Check separate investment approvals for the proposed activity.
Use the business portal for the relevant corporate transaction
The federal eBusiness portal lists Foreign Business Incorporation separately from ordinary Business Incorporation, Business Name Reservation and Business License services. It describes a sequence of account creation, name reservation, company registration and business licensing. For an overseas company’s branch, choose the foreign-company transaction rather than assuming that every incorporation form describes the same legal arrangement.
Its account-creation description requires a valid identity document, email address and telephone number. The public portal also provides business and licence verification using a business identification or licence number. After obtaining a corporate document, use the relevant verification function to check the issued record. That facility verifies a business or licence; it does not establish that a foreign owner personally holds permission to reside or work. The public pages examined did not establish a guaranteed corporate processing deadline.
Assemble the investor’s personal stay application
The government’s Permit of Stay page lists a written investor application including personal details and insurance, a Commerce Ministry business permit, a passport valid for at least one year, two passport photographs, a business profile, a CV and national identification where applicable. It also mentions academic or skills evidence. The profile should explain the actual business supporting the residence request.
The page describes applying in person and publishes a US$5 charge payable through mobile money to an account displayed at the regional centre. Confirm the current assessed charge and its scope with the Agency; an independently updated fee schedule was not established. The page does not establish the duration of an investor permit, an automatic grant or a right to begin employment while an application remains pending.
Resolve investment approvals and charges with the responsible offices
The investment promotion office’s Investor Support page describes assistance with establishment, work and residence-permit applications, environmental assessments and other licences. It lists [email protected] and +252 611 011 116. Use that facilitation contact to identify the approvals needed for the proposed branch and the owner’s actual duties; assistance with an application is not the permit itself.
For immigration questions, the Agency lists [email protected] and +252 61 0555001. Ask whether an owner who will manage operations also needs work authorisation and which current checklist applies. HALMEEL’s service page defers its official fee and maximum processing time to a Citizen Charter before service opening, so its description should not be read as proof that every filing channel is already available. No direct official clarification was obtained about that availability, assessed charges or a particular investor’s category.
